Service engagements

Software development and consulting services are provided under separate written agreements (such as a proposal, statement of work, or master services agreement) signed by both parties. If these Terms conflict with a signed agreement, the signed agreement controls for that engagement. Estimates provided through the Site or in consultations are non-binding until confirmed in a signed agreement.

Intellectual property

The Site and its content — including text, graphics, logos, and design — are owned by Larkwell or its licensors and protected by intellectual property laws. You may not reproduce or redistribute Site content without our written permission. Ownership of work product created in client engagements is governed by the applicable signed agreement.

Disclaimers

The Site is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.

Limitation of liability

To the fullest extent permitted by law, Larkwell will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site. Our total liability arising out of your use of the Site will not exceed one hundred US dollars ($100). This section does not limit liability that cannot be limited under applicable law and does not apply to obligations under signed service agreements.

Governing law

These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Site will be brought in the state or federal courts located in Bernalillo County, New Mexico.

We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
